Asustek to Spin-Off its ODM Business Group

Asustek Computer Inc convened a board meeting on December 11 to resolve the spin-off of its ODM business group which is held through the form of long term equity investment and establish "Pegatron Investment Holding Co Ltd". According to Asustek, Pegatron Holding will assume 100 percent of the company's equity investment in Pegatron Corporation and will issue 2,286,053,935 new shares to the company and all shareholders of the company as consideration. It is expected that the company will receive 25 percent of the equity and all shareholders of the company will in total receive 75 percent of the equity in Pegatron Holding in proportion to their shareholdings in the company.
